Terms and Conditions
By downloading this MSP Software, you are accepting the Terms and Conditions as set out below, and agree to not use the software until you have examined it in detail and satisfied yourself that is suitable for your needs. You are also agreeing that you understand that the Highways Agency does not guarantee the quality of the software, or its fitness for any particular purpose.
In this Agreement:
‘Highways Agency’ means the Secretary of State for Transport acting through the Highways Agency.
‘You’ includes any person (including legal persons) to whom the Software or any derivative work is provided, and any person who modifies or makes use of the Software, and ‘your’ shall be construed accordingly;
‘Software’ means the source code and computer programme provided on this website and known as ‘Machine Survey Pre-Processor Software;
‘Derivative Work’ means any software or other product, whether physical or electronic, which you produce using the Software; and
This software is provided by the Highways Agency ‘as is.’ The Highways Agency does not make any warranty or representation, either express or implied. Specifically, and without prejudice to the generality of the foregoing, no warranty or representation is given in respect of fitness for purpose or in respect of merchantability.
The Highways Agency expressly disclaims any liability arising in any way from Your downloading, possession, modification or use of the software, including (but not limited to) liability incurred in any way to the Highways Agency or to any third party as a result of any defect or alleged defect in the Software, loss of profits or consequential loss.
This agreement forms the entire agreement between the parties. No statements made by any representative of the Highways Agency or any of its affiliates before you download the Software will have contractual effect.
The Highways Agency hereby grants You a licence to use the Software for any purpose You are satisfied it is suitable for; to modify the Software and to create Derivative Works in any way You see fit; and to distribute the Software and any Derivative Works as You wish, whether or not for profit.
You agree to indemnify the Highways Agency against any losses it suffers as a result of Your downloading, possession, modification or use of any kind of the Software or Derivative Works You have created. Such losses may include, but are not limited to: claims for breach of contract; claims in negligence including claims in respect of personal injury or death; claims for lost profit; and claims for breach of any statutory duty. You also agree to indemnify the Highways Agency in the same terms against any such losses caused by any kind of use by a third party of any Derivative Works You have created.
You acknowledge that “Machine Survey Pre-Processor Software” is a designation used by the Highways Agency for computer software it has produced. You undertake not to use it, or any similar term, to describe or to promote any Derivative Works. Furthermore, you undertake not to use the Highways Agency’s name, or the names of any of its affiliates, to endorse any Derivative Works you may create.
The presentation of this Agreement and the provision of the Software on this web site constitute a contractual offer by the Highways Agency. You may accept this offer by clicking on the "You can download this publication by clicking here" link. If you choose to download this software, you and the Highways Agency will be bound by this agreement.
